Terms & Conditions
Effective Date: 20 May 2026
1. SCOPE OF SERVICES
PrimePixel Web provides professional digital services including, but not limited to:
- Custom Website Development (Starter, Growth, Elite).
- Search Engine Optimization (SEO) & Google Business Profile Management.
- SaaS Solutions ("Enterprise Logistics OS").
- WhatsApp Business API Automation & CRM Integrations.
2. PROJECT CONFIRMATION & ONBOARDING
A project is deemed officially confirmed only upon:
- Written approval of the proposal/quotation.
- Submission of the required project brief/assets.
- Receipt of the mandatory 50% Advance Payment.
3. PAYMENT TERMS & MILESTONES
- A. Advance Payment: A 50% non-refundable advance is required before any strategy or development work commences.
- B. Balance Payment: The remaining 50% must be cleared in full before the website is migrated to the client’s live domain or final credentials are handed over.
- C. SaaS/Maintenance Subscriptions: Monthly "Smart Rent" fees are billed in advance. Failure to pay within 5 days of the due date may result in temporary service suspension.
4. INTELLECTUAL PROPERTY RIGHTS
- Ownership: All concepts, code, graphics, and custom logic developed by PrimePixel Web remain our intellectual property until the final balance payment is received.
- Portfolio Rights: The Company reserves the perpetual right to display the public-facing UI of completed projects in our portfolio, social media, and case studies. No private backend data or client database information will ever be shared.
5. CLIENT RESPONSIBILITIES
The Client is responsible for providing accurate information and timely feedback. Delays in providing content (logos, text, images) exceeding 15 days will result in the project being moved to "On-Hold" status, potentially incurring a reactivation fee.
6. LIMITATION OF LIABILITY
PrimePixel Web shall not be held liable for:
- Third-party platform breaches (e.g., Hosting providers, Google algorithm updates).
- Business losses resulting from downtime caused by external APIs.
- Data corruption or loss beyond our reasonable control.
